Introduction – Definitions

These general terms and conditions of sale govern the sale of products and, where applicable, services by the data controller, the company Techno Serramenti S.r.l., with registered office in San Giorgio di Nogaro (UD), Via Palmanova, No. 83, VAT No. 02261650309 – Tel.: 0431.621206; Email: privacy@technoserramenti.it; P.E.C.: technoserramenti@pec-mail.it (hereinafter referred to as “Techno Serramenti S.r.l.” or “We”) through the website www.technoserramenti.it (also referred to as “Site” or “Portal”).

The Portal offers its visitors (also referred to as “Users” or “You”) the opportunity to browse the catalog of Techno Serramenti S.r.l. and purchase products online that are part of our selection of handles and hammers for windows, French doors, internal doors, and entrance doors, as well as sliding and lift-and-slide systems.

This document contains the general terms and conditions of contract that are binding for all sales concluded through the Portal (hereinafter “General Terms and Conditions of Sale”). The sale of products by Techno Serramenti S.r.l. to Users falls within the context of using the Portal by Users, governed by the General Terms of Use, which can be consulted at the following address: https://www.technoserramenti.it/shop.

Acceptance of the General Terms of Use is mandatory in order to register the User Account, a necessary step to make purchases through the Site. Acceptance of the General Terms of Use is deemed to occur when purchasing goods through the Portal. Techno Serramenti S.r.l. may offer additional services related to sales, governed by specific Terms of Service, which are summarized in the General Terms of Use. We kindly ask you to carefully read these General Terms and Conditions of Sale before proceeding with any purchase. By making any purchase, the User fully accepts these General Terms and Conditions of Sale. To proceed with a purchase, the User is expressly required to accept these General Terms and Conditions of Sale; failure to do so will prevent the order from being submitted and the purchase from being finalized.

 

1. THE CONTRACT BETWEEN TECHNO SERRAMENTI S.R.L. AND THE USER

The presentation of products and services on the Site indicates our willingness to receive contractual proposals from the User. If the User wishes to buy one or more products, they can select them one by one and add them to the cart. Once the User has selected all the items they intend to purchase, they can close the cart and submit the order (checkout process). The checkout process can only be completed after logging into the User Account by entering personal credentials. Selecting the cart will display a summary page of the products selected by the User, their total price (including VAT), and the “Proceed to Order” button to confirm the merchandise selection after reviewing the updated prices of the selected items, removing any unwanted items, reviewing quantities, or entering discount codes. If the User has not logged into their User Account, they will be redirected to the login page and will need to select the cart again after entering their credentials. The next screen will prompt the User for billing and contact information, as well as the shipping address, which must be provided to complete the order. The submission of data to Techno Serramenti is subject to the Privacy Policy, available at the following link: https://www.technoserramenti.it/privacy-policy.html.

Once the order is placed, the User will access the “Payment” page, where a summary of the merchandise will be displayed along with the “Place Order” button. Clicking this button will redirect the User to the PayPal platform for payment. After completing the payment via the PayPal platform, the order will be forwarded to Techno Serramenti S.r.l. Your order will be considered a contractual purchase proposal directed to Techno Serramenti S.r.l. for the listed products, each considered individually. Upon receipt of the order, an automated message confirming the order’s receipt (“Order Receipt”) will be sent to the User. The order will also appear in the “Orders” section of the “User Account” page within the Portal. The Order Receipt does not constitute acceptance of the purchase proposal. With the sending of the Order Receipt, Techno Serramenti S.r.l. confirms only the receipt of the order and its submission to data verification and availability checks for the requested products. The sales contract with Techno Serramenti S.r.l. will be deemed concluded only when the User receives a separate email or when the order status is updated in the “Orders” section of the “User Account” page, through an express declaration of acceptance of the purchase proposal. This declaration will also contain information regarding product shipping and tracking, as well as the estimated delivery date. The User agrees to receive invoices in electronic format. A courtesy copy of these documents will be available in PDF format within the “User Account” section of the website or will be sent to the email address provided at the time of purchase.

The above-described purchasing process does not apply to management software provided through the Portal, for which a customized quote can be requested based on the User’s needs using the “request a quote” function.

 

2. PAYMENTS

The payment for orders placed through the Portal can be made through the PayPal platform (PayPal prepaid card or credit card). Techno Serramenti S.r.l. does not come into contact with User payment information. All payments are handled by redirecting to services offered by PayPal Inc., a company based in California, USA, operating in Europe through PayPal (Europe) S.à r.l. et Cie, S.C.A., a Luxembourg credit institution with a valid license (under Article 2 of the Law of 5 April 1993 on the financial sector and subsequent amendments) and subject to prudential supervision by the Luxembourg supervisory authority, the Commission de Surveillance du Secteur Financier, with its registered office at L-1150 Luxembourg. Users are encouraged to review the terms of use of the PayPal service, available at the link https://www.paypal.com/it/webapps/mpp/ua/legalhub-full.

 

3. SHIPMENTS

For the delivery of goods to the delivery address specified by the User, Techno Serramenti S.r.l. entrusts the delivery service to selected professional partners. The carriers assigned may vary depending on the delivery region and workloads. The amount of shipping costs may depend on various factors, such as the weight, size of the merchandise, and the distance from our warehouse.

Once the order is placed, the User can find information about the shipment within the User Account page, under the “Orders” section. The shipment will be made to the delivery address expressly indicated by the buyer during the order process. Techno Serramenti S.r.l. cannot be held responsible in any case for the failure and/or delayed delivery of the shipment due to incorrect and/or incomplete address information provided by the buyer during the order process.

To ensure the optimal use of our products, it is recommended to use the installation service described in the following section. In the case of using the installation service by the User, the delivery costs are combined with the installation costs under a single item.

 

4. INSTALLATION SERVICE

Techno Serramenti S.r.l. provides the User with its own specialized technical personnel, allowing for customized configuration of the purchased devices and installation at the chosen location specified at the time of the order, if requested by the buyer as an additional service. The costs of the service vary depending on the location chosen by the User. The installation will be carried out by Techno Serramenti S.r.l.’s staff or other authorized specialized technicians, authorized by Techno Serramenti S.r.l., in cases where the chosen installation location is not easily reachable from our office. If the User requests the installation service, the contract between the User and Techno Serramenti S.r.l. qualifies as a supply with installation rather than a sales contract. This may entail limitations on the right of withdrawal, as indicated in more detail in the following section.

 

5. RIGHT OF WITHDRAWAL AND EXCEPTIONS

Subject to the exceptions indicated below, the User who acts as a consumer under Legislative Decree 206/2005 (Consumer Code) has the right to withdraw from the placed order, without providing any justification, within 14 days from the delivery of the order.

The exercise of the right of withdrawal must be communicated to IoPrint through our Customer Service, by completing the online form accessible from the User Account page. Alternatively, it is possible to send a specific written communication to Techno Serramenti S.r.l. at the email address info@technoserramenti.it, which must include the reference and/or order number subject to withdrawal, the name of the buyer, and the corresponding declaration of intent.

To exercise the right of withdrawal, it is necessary for the communication to be sent before the expiration of the 14-day period and for the product to be returned to Techno Serramenti S.r.l. following the instructions provided in response to your communication.

Please note that, if the goods have undergone technical intervention for installation at the User’s premises and/or have been customized, or if the purchased item is software provided by download, the right of withdrawal is excluded and waived if the User has requested immediate execution of the service at the time of the order.

The Buyer is responsible for any decrease in the value of the product resulting from handling it in a manner other than necessary to establish its nature, characteristics, and functioning. The product must still be stored, handled, and inspected with normal diligence and returned intact, complete in all its parts, perfectly functional, accompanied by all accessories and instructional materials, with labels, if present, still attached to the product, and in all cases, suitable for the intended use.

In the event of exercising the right of withdrawal, where such withdrawal is possible and not excluded according to the limitations indicated in the previous paragraph, Techno Serramenti S.r.l. will refund the User all payments received in relation to the product for which the right of withdrawal has been exercised, including shipping costs related to the most economical shipping method offered by Techno Serramenti S.r.l., within 14 days from the return of the items for which the right of withdrawal has been exercised. For the return of products, the User must follow the instructions provided by Techno Serramenti S.r.l. for the specific case, under penalty of forfeiture of the right to obtain a refund. The User will bear the direct costs of returning the products and may be held responsible for any decrease in their value. The refund will be made using the same payment method used to complete the order.

 

6. PRODUCT WARRANTIES AND LIMITATIONS OF LIABILITY

Techno Serramenti S.r.l. offers its Users acting as consumers under Legislative Decree 206/2005 the legal warranty of conformity required by law on every sold item (“Legal Warranty”) pursuant to Directive 1999/44/EC and Legislative Decree 6 September 2005, No. 206 (Consumer Code). The Legal Warranty, which Techno Serramenti S.r.l. is required to provide as a professional seller, guarantees the item against defects of conformity with the sales contract for two years, subject to the reporting of the defect of conformity.

If the User does not qualify as a consumer under Legislative Decree 206/2005, the warranty is valid for one year and requires that defects or flaws in the purchased item be reported within eight days from the documented discovery date.

The warranty applies provided that the supplied goods have not been tampered with or damaged for reasons other than normal use. The User agrees to use the supplied goods according to the relevant technical instructions and to carry out repairs or other technical interventions only with the assistance of Techno Serramenti S.r.l. or personnel authorized by the manufacturer.
The warranty does not apply to defects resulting from normal wear and tear of the product, failure by the buyer to observe the Supplier’s instructions on proper assembly and/or use, or if the Customer has made modifications to the products or performance, exchanged some components of the products, or used consumables that do not correspond to the original specifications.

Please note that, to correctly manage the seller’s warranty and related responsibilities, it is necessary for the User to refuse the delivery of visibly tampered or damaged packages. In such cases, we will receive the report directly from the courier and will arrange for a replacement shipment, if possible, or a full refund of the costs incurred by the User.

In the case of the applicability of the Legal Warranty, the User will have the right to free restoration of the conformity of the item through repair or replacement, or, if this is not possible, to a reduction in the purchase price or contract termination. Techno Serramenti S.r.l. is liable for defects of conformity if they occur within two years from the date of delivery of the item, provided that the contract was concluded between Techno Serramenti and a consumer. If, on the other hand, the contract was concluded between Techno Serramenti S.r.l. and a professional, the warranty is valid for one year. The non-consumer User is nonetheless required to report the defect of conformity within eight days of its discovery, documenting the discovery date.

. In case you find a defect of conformity in goods purchased from Techno Serramenti S.r.l. during the validity period of the Legal Warranty, please report the issue and request the replacement of defective items through our customer service.

The User is aware that the images published on the Site are purely illustrative, and the actual appearance of the items may differ from the published photographs. For the identification of the item being sold, the description sheet of the item displayed on the page of each Product is the reference and not the image. Any difference between the image and the product that does not affect the characteristics indicated therein does not entitle the replacement or refund of intact items outside the cases of consumer withdrawal.

To the extent permitted by law, Techno Serramenti S.r.l. declines any responsibility if the delivered product does not comply with the laws of a delivery country other than Italy. Techno Serramenti S.r.l. will not be responsible for delays in the delivery of purchased goods due to insufficient stock at the supplier. We will also not be liable for non-substantial differences between the purchased goods and their illustrative images and text descriptions published on our website.

Except in cases of fraud or gross negligence, we are solely responsible for direct and foreseeable damages at the time of the conclusion of the sales or installation contract. Therefore, we will not be liable for any losses suffered, loss of profit, or any other damage that is not the immediate and direct consequence of our breach or was not foreseeable at the time of the conclusion of the sales contract. Techno Serramenti S.r.l. is in no way responsible for fulfilling obligations on behalf of third parties that may offer commercial warranties related to the products for sale on the site.

In case of issues related to shipping, Techno Serramenti S.r.l. is solely responsible for the sale and delivery of the products and directly handles any claims or issues related to the contract with the buyer.

 

7. PRICES AND AVAILABILITY

All prices are inclusive of applicable VAT according to the law.
Information about the availability of the products we sell is listed on the website, as well as on the presentation page of each product. In addition to the information provided on that page or elsewhere on the website, we cannot provide more precise indications regarding product availability. Please note that the estimated dispatch and delivery times for products are purely indicative, and you cannot rely on them completely. Once we receive your order, we will communicate via email or by posting a notice on the “Orders” page of your User Account if any of the ordered products are unavailable.

Despite our best efforts, we cannot rule out the possibility that an incorrect price may be indicated for a small portion of the products in our catalog. In any case, we will verify the accuracy of the product prices during the order verification process and subsequent product shipment. If, due to errors or other inconveniences, the price indicated on the website is lower than the correct selling price of a product, we may contact you to verify if you still wish to purchase the product at the correct price or we may not accept your order. If the correct price of a product is lower than the one indicated on the website, we will charge you the correct lower price and still send you the product.

 

8. CROSS-BORDER ORDERS – CUSTOMS

The Portal managed by Techno Serramenti S.r.l. is designed to offer services within the Italian territory or within neighboring countries that are members of the European Union. Techno Serramenti S.r.l. reserves the right to refuse contractual proposals from customers residing outside the Italian territory or requiring international shipments. Orders that require delivery outside the national territory may be accepted or declined at the discretion of Techno Serramenti S.r.l., without the need for further explanation, and subject to the refund of any payments made by the User. The acceptance of any cross-border orders is at the discretion of Techno Serramenti S.r.l. If the goods ordered from Techno Serramenti S.r.l. are to be delivered outside of Italy, the User may be subject to customs duties and import taxes, which are payable once the package reaches the specified destination. Any additional customs clearance costs will be borne by the User. Techno Serramenti S.r.l. has no control over these costs and cannot predict their amount. Customs policies vary considerably from country to country, and it is the User’s responsibility to contact the local customs office for more information. If the User places orders outside the customs territory of the European Union, they are considered an importer and must therefore comply with all the laws and regulations of the country where the goods will be received. To protect the User’s privacy, it is important to be aware that cross-border deliveries are subject to the opening and inspection of products by the competent customs authorities. 9. APPLICABLE LAW AND JURISDICTION

These General Sales Conditions are governed by and must be interpreted in accordance with Italian laws. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded, also considering that Techno Serramenti S.r.l. operates exclusively within the Italian national territory and neighboring countries that are members of the EU. Consumers with habitual residence in the European Union benefit from additional protections provided by the mandatory rules of their country of residence. Unless otherwise specified, only consumer Users are subject to the provisions of Legislative Decree 6 September 2005, No. 206 (Consumer Code).

In case of disputes regarding the interpretation and execution of these General Sales Conditions, the User agrees, and Techno Serramenti S.r.l. also agrees, to submit exclusively to the Italian jurisdiction, with the jurisdiction of the Court of Udine. However, if the User operates as a consumer, this choice is not made exclusively, and the User may choose between this jurisdiction and that of the European Union member state of residence or domicile.

 

10. MINORS

Techno Serramenti S.r.l. products are intended to ensure high performance and the achievement of high professional standards, and therefore are not intended for minors. Individuals under the age of 18 cannot make purchases on the Portal. When making a payment, the User undertakes to use only payment methods in their name. For any improper or illegal use of the Techno Serramenti S.r.l. Site or Services carried out by minors, the subjects responsible for parental responsibility towards them or the subjects under whose protection minors are placed will be held responsible. Any notices of the use of Techno Serramenti S.r.l. Services by minors will result in the responsibility of the subject to whom the payment method used for the purchase is registered.

 

11. CHANGES TO THE GENERAL SALES CONDITIONS

Techno Serramenti S.r.l. reserves the right to modify the Techno Serramenti S.r.l. Services, its information, its Service Regulations, and these General Sales Conditions at any time to offer new products or services or to comply with legal or regulatory provisions. The User will be subject to the version of the General Sales Conditions in force at the time of ordering products from Techno Serramenti S.r.l., except when any changes to these General Sales Conditions are required by applicable law or competent authorities (in which case they will also apply to previously placed orders). If any provision of these conditions is deemed invalid, void, or for any reason unenforceable, that provision shall be interpreted and/or invalidated in a manner that does not, in any case, affect the validity and effectiveness of the other provisions.

 

12. WAIVER

In the event of the User’s failure to comply with these General Sales Conditions, Techno Serramenti S.r.l.’s failure to exercise its right to take action against them does not constitute a waiver of action for the breach of commitments undertaken by the User.
